Filinvest Land Streamlines Corporate Structure with Closure of Inactive Mimosa Subsidiary

Filinvest Land, Inc. (FLI) has announced the closure of its wholly owned subsidiary, Filinvest Lifemalls Mimosa Inc. (FLMI), as part of its ongoing efforts to enhance operational efficiency and streamline its corporate structure.

FLI said FLMI holds no assets, does not operate any business, and has no registered employees, making the closure a practical organizational measure. The company emphasized that the move is aligned with its strategy to ensure that all subsidiaries actively contribute to growth and value creation.

“As we continue to strengthen our organizational structure, it is important that every entity within the Filinvest Land group supports our growth objectives. Since FLMI has no assets, operations, or employees, its closure allows us to focus on subsidiaries that are actively driving value and development,” said Tristan Las Marias, President and Chief Executive Officer of Filinvest Land, Inc.

As part of the process, FLMI has filed an application with the Securities and Exchange Commission to shorten its corporate term, a procedural step intended to simplify FLI’s internal organization and ensure alignment with long-term strategic and operational priorities. The company clarified that the closure will not affect any of its ongoing projects, including developments within the Filinvest Mimosa+ estate.

“This administrative step ensures our resources and structures remain strategically aligned with our long-term growth priorities,” Las Marias added.

FLI also reaffirmed that the development of the Mimosa Lifestyle Mall, also known as Filinvest Mall Mimosa, will proceed as planned. The mall is owned, developed, and will be operated by FLI through its subsidiary Filinvest Clark Mimosa Inc. Construction is ongoing, with opening targeted in 2026.

“Our commitment to delivering the Mimosa Lifestyle Mall is unwavering. The project is progressing as scheduled and, once completed, will serve as a dynamic commercial anchor for the Filinvest Mimosa+ estate,” Las Marias said. “We are excited to introduce a modern, thoughtfully curated lifestyle destination that will enhance the overall experience in Clark.”

The upcoming Filinvest Mall Mimosa will feature a curated mix of dining, retail, lifestyle, and wellness establishments, designed to strengthen commercial activity within the Filinvest Mimosa+ estate and contribute to the broader community experience in Clark.
