Golden Haven Acquires Bria Homes

On 27 December 2017, the Board of Directors of Golden Haven Inc. (PSE: HVN) approved the purchase by the corporation of all the issued and outstanding common shares of Bria Homes Inc. legally and/or beneficially owned by Cambridge Group Inc., at the purchase price of PhP301.42 per share or an aggregate purchase price of PhP3,014,027,483.

The board also authorized the issuance of 150,000,000 common shares to Cambridge Group, out of the unissued authorized capital stock of the corporation, at the subscription price of PhP20.0935 per share or an aggregate subscription price of PhP3,014,027,483. The issuance is undertaken pursuant to the stockholders’ approval for the issuance by way of private placement of up to 150,000,000 shares of the corporation on 16 October 2017.
